1. Agreement to Terms

By accessing and using the services provided by 2060 OÜ ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Company Information

2060 OÜ is a private limited company registered in Estonia with registration number 16853041. Our registered address is Harju maakond, Tallinn, Kesklinna linnaosa, Ahtri tn 12, 15551, Estonia.

3. Services

We provide professional programming and software development services including, but not limited to:

• Web development and design
• Mobile application development
• Desktop application development
• Backend development and API creation
• Technical consulting
• Software maintenance and support

4. Service Agreements

4.1 Project Scope

Each project will be governed by a separate written agreement that outlines specific deliverables, timelines, costs, and terms. These Terms serve as the general framework for all our service agreements.

4.2 Modifications

Any changes to project scope must be agreed upon in writing and may result in additional costs and timeline adjustments.

5. Payment Terms

5.1 Payment Schedule

Payment terms will be specified in individual project agreements. Generally, we require:

• 50% deposit before project commencement
• Remaining balance upon project completion
• For larger projects, milestone-based payments may be arranged

5.2 Late Payments

Late payments may incur interest charges and may result in suspension of services until payment is received.

6. Intellectual Property

6.1 Client Ownership

Upon full payment, clients will own the custom code developed specifically for their project, excluding any third-party components or our proprietary tools and frameworks.

6.2 Third-Party Components

Projects may include third-party libraries, frameworks, or components subject to their respective licenses.

6.3 Company Rights

We retain the right to use general knowledge, skills, and experience gained during projects for future work.

7. Confidentiality

We maintain strict confidentiality regarding all client information and project details. We may require separate non-disclosure agreements for sensitive projects.

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that our services will be performed with professional skill and care. We provide a 90-day warranty on delivered code for defects in functionality as specified in project requirements.

8.2 Disclaimers

Except as expressly stated, our services are provided "as is" without warranties of any kind. We do not guarantee that software will be error-free or will meet all client expectations beyond agreed specifications.

9. Limitation of Liability

Our liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project. We shall not be liable for any indirect, incidental, special, or consequential damages.

10. Support and Maintenance

Post-project support and maintenance services are available under separate agreements. Emergency support may incur additional charges.

11. Termination

11.1 Termination by Client

Clients may terminate projects with written notice. Client remains responsible for payment of work completed and any non-refundable expenses incurred.

11.2 Termination by Company

We may terminate agreements for non-payment, breach of terms, or other reasonable cause with appropriate notice.

12. Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including natural disasters, government actions, or other force majeure events.

13. Governing Law

These Terms are governed by Estonian law. Any disputes will be resolved through Estonian courts or alternative dispute resolution methods as agreed by both parties.

15. Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. Updates to Terms
